Terms of Service

Welcome to IQHall. These Terms of Service (the “Agreement”) govern your use of IQ Hall and IQHall (“IQHall”) online and mobile services, websites, and software (collectively, the “Service”). By accessing or using the Service, or by clicking an “I Agree” (or similar) button, you indicate that you have read, understood, and agree to be bound by this Agreement — including the collection, use, and sharing of your information as described in our Privacy Policy — whether or not you are a registered user of the Service. If you do not agree to these terms, please do not use the Service.

IQHall may modify this Agreement from time to time. We will provide notice of any changes as described in our Privacy Policy or on the Site. This Agreement applies to all visitors, users, and others who access or use the Service (“You” or “Users”). If you open an account on behalf of an organization (e.g., a school, organization, ministry or government entity), then “you” refers to both you and that organization.

Note regarding Student Data: If the Service is used by a school, education entity or other educational provider, IQHall may collect or have access to student data (“Student Data”) provided by the school or student. Any use, collection, or sharing of Student Data will comply with applicable local, state, country specific and U.S. laws — including, where relevant, the Family Educational Rights and Privacy Act (FERPA), the Children’s Online Privacy Protection Act (COPPA), and any applicable laws. You are responsible for obtaining any required consents from parents or guardians.

1. The Service

  • The IQHall Service (the “Service”) provides educational content, resources, and tools for learning and skill development. Unless otherwise stated, any new or improved features will be provided under this Agreement.
  • You understand and agree that the Service is provided “as is.” IQHall assumes no responsibility for any errors, omissions, interruptions, or unavailability of the Service, or for loss or deletion of data.
  • IQHall grants you a personal, non-transferable, non-exclusive license to use the Service. You agree not to: copy, modify, create derivative works of, reverse engineer, decompile, or disassemble the software; sell, assign, sublicense, or otherwise transfer any right in the Service; or access the Service by any means other than through the interfaces provided by IQHall.
  • To use the Service, you must have internet access and supply whatever devices or equipment are needed to connect.

2. Eligibility and Authority

  • The Service is sold only to adults who can make payments via permitted methods. If you are under 18, you may use the Service only with the involvement and consent of a parent, legal guardian, or under the direction of your school. Your school may impose additional policies regarding use — you must comply with those as well.
  • If you open an account on behalf of a school or organization, you represent and warrant that you have the authority to bind that entity to this Agreement.
  • If you permit a minor to use the Service, you represent that you have the legal right to consent on behalf of the minor, and you accept this Agreement on the minor’s behalf and are responsible for their activity.
  • If you contact IQHall to take actions on an account, you represent that you have the authority to do so for the relevant account holder.

3. Your Registration Obligations

In exchange for using the Service, you agree to:

  • Provide true, accurate, current, and complete information when registering (the “Registration Data”).
  • Maintain and promptly update your Registration Data to keep it accurate and complete.

If you provide false, inaccurate, outdated, or incomplete information — or IQHall reasonably suspects that you have — we reserve the right to suspend or terminate your account and refuse any current or future use of the Service.

4. Account Types, Billing, and Cancellation

Account Types

IQHall may offer various types of accounts, such as:

  • Family Accounts — purchased by or for a parent/guardian; may include child profiles for minors supervised by the parent.
  • Individual (Independent Learner) Accounts — for adult learners subscribing individually.
  • Classroom / School Accounts — for use by schools or other educational institutions, typically including teacher/admin access and student accounts.
  • Enterprise / Institution-Wide Accounts — for larger organizations, school districts, or government entities possibly with many users.

Each account will be subject to a license period (e.g., monthly, annually, or per-term), described at the time of purchase. The specific “Account Terms” may be outlined in a quote, invoice, or confirmation email, and may vary depending on the account type and purchaser.

Automatic Renewal & Billing

  • For accounts purchased via recurring subscription (e.g., monthly or annual plans), fees will be charged automatically at the start of each billing cycle, using the payment method on file.
  • Fees for each renewal will be charged at the then-current rate, including any changes. You authorize IQHall to charge your payment method for such fees.
  • Payments are non-refundable and non-creditable for periods partially used.

Cancellation

  • You may cancel a subscription at any time. Cancellation will take effect at the end of the current billing period.
  • IQHall does not offer prorated refunds for remaining time in a period.
  • Upon expiration or cancellation (and absent any renewal), access to the Service and any account data may be disabled, except at IQHall’s discretion, which may allow limited access for a short time post-expiration for data export. It is your responsibility to export or download any data you wish to keep.

5. Use by Schools and Handling of Student Data

When the Service is used by a school, educational institution, school district or government entity:

  • “Student Data” refers to any information related to students, including personal, demographic, academic, or behavioral data. Student Data remains under the control and ownership of the school (or the student’s guardians), not IQHall.
  • By providing Student Data to IQHall, you authorize us to access, store, process, and use that data solely for the purposes of delivering and supporting the Service, analyzing usage, improving the Service, or as otherwise authorized by the school/guardian.
  • You (the school or guardians) are responsible for obtaining any required consents under applicable laws (e.g., FERPA, COPPA, and relevant state laws). IQHall will not be responsible for failures to obtain consent.
  • When required, IQHall will treat Student Data as strictly confidential. IQHall will not use Student Data for targeted advertising or non-educational purposes, and will only share Student Data with service providers, affiliates, or agents who need access to support the Service, under confidentiality obligations.
  • Upon request, you may ask IQHall to delete Student Data in our possession. We will comply within a reasonable time frame, except where retention is required by law or by backup/disaster-recovery needs.

6. Account Security & User Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials (username, password, etc.) and for all activity under your account.
  • If you become aware of unauthorized use or any other breach of security, you must notify IQHall immediately.
  • You agree to log out at the end of each session and take reasonable steps to secure your device.

7. Prohibited Conduct & Content

You agree not to:

  • Use the Service in any unlawful or unauthorized way.
  • Copy, distribute, sublicense, rent, lease, loan, sell, or create derivative works of the Service or software, in whole or in part.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise access or discover the source code of the Service.
  • Use any automated means (scraping, harvesting, indexing, mining) to extract content from the Service.
  • Upload, post, or transmit any content that violates intellectual property, privacy, or publicity rights of others.
  • Use the Service to transmit spam, malware, or malicious content.

IQHall reserves the right, in its sole discretion, to suspend or terminate your account — without prior notice — for any reason, including violation of these rules or inactivity.

8. Disclaimers, Warranties & Limitations of Liability

  • The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. IQHall does not warrant that the Service will meet your requirements, be error-free, uninterrupted, or secure, or that results obtained from use will be accurate or reliable.
  • To the fullest extent permitted by law, IQHall disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • IQHall will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising out of your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
  • Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you fully.

9. Indemnification

You agree to indemnify, defend, and hold harmless IQHall, its affiliates, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from or in connection with:

  • Your use of the Service;
  • Your violation of this Agreement;
  • Your violation of any rights of another; or
  • Any content you submit, post, or transmit through the Service.

10. Termination

IQHall (or you) may terminate or suspend your account at any time, for any reason, with or without notice. Upon termination:

  • Your right to use the Service ends immediately.
  • IQHall may delete or permanently disable access to your account and data.
  • If your account is terminated voluntarily by you, you remain responsible for any unpaid fees for the current billing period.
  • If you wish to retain any data, you should export or download it before termination.

11. Governing Law & Dispute Resolution

  • This Agreement shall be governed by the laws of the State of Delaware, U.S.A. without regard to conflict of law principles.
  • Any disputes arising under this Agreement will be resolved via individual arbitration, and you waive any right to a class action or jury trial, to the fullest extent permitted by law.
  • If any provision of this Agreement is held invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

12. Changes to the Terms

IQHall reserves the right to revise or update these Terms of Service at any time. If we make material changes, we will provide notice (for example, by email or via the Service) before they take effect. Your continued use of the Service after changes become effective indicates your acceptance of the revised Terms.
